1. Agreement to Terms

Welcome to Hue42, a color palette platform operated by Chaos Theory Studios LLC ("Company," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our website, applications, and services (collectively, the "Service").

By accessing or using Hue42, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use the Service.

IMPORTANT: These Terms contain an arbitration clause and class action waiver in Section 16. Please read them carefully.

2. Eligibility

You must be at least 13 years old to use Hue42. If you are under 18, you represent that you have your parent or guardian's permission to use the Service. By using Hue42, you represent and warrant that you meet these requirements.

3. Account Registration and Security

3.1 Account Creation

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Keep your password secure and confidential
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activities under your account

3.2 Username Requirements

Your username must not:

• Impersonate another person or entity
• Contain offensive, vulgar, or inappropriate language
• Infringe on trademarks or intellectual property rights
• Violate any laws or regulations

3.3 Account Termination

You may delete your account at any time through account settings. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Subscription Plans and Billing

4.1 Plan Tiers

Hue42 offers multiple subscription tiers:

• Free: Basic features with limitations
• Pro: Advanced features including AI tools, unlimited palettes, and export capabilities
• Team: Pro features plus collaboration tools and team management

4.2 Billing and Payments

• Subscriptions are billed monthly or annually based on your selection
• All payments are processed securely through Stripe
• Prices are subject to change with 30 days' notice
• You authorize us to charge your payment method for recurring subscription fees
• Failed payments may result in service interruption or account suspension

4.3 Cancellation and Refunds

• You may cancel your subscription at any time through account settings
• Cancellations take effect at the end of the current billing period
• New subscribers are eligible for a full refund within 7 days of their initial purchase
• Annual subscriptions may be eligible for prorated refunds within 30 days of purchase
• AI credit packs are non-refundable digital goods

4.4 Free Trial

Free trials may be offered for Pro plans. Your payment method will be charged automatically at the end of the trial unless you cancel before the trial period ends.

5. Acceptable Use Policy

You agree not to:

• Violate any laws, regulations, or third-party rights
• Post or share illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or hateful content
• Impersonate any person or entity or misrepresent your affiliation
• Interfere with or disrupt the Service or servers/networks connected to the Service
• Attempt to gain unauthorized access to any part of the Service
• Use automated systems (bots, scrapers) without permission
• Upload viruses, malware, or malicious code
• Collect or harvest personal information from other users
• Use the Service for commercial purposes without authorization
• Reverse engineer, decompile, or disassemble any part of the Service

6. User-Generated Content

6.1 Your Content

You retain ownership of the color palettes, designs, comments, and other content you create on Hue42 ("User Content"). By sharing content publicly, you grant us a worldwide, non-exclusive, royalty-free license to use, display, reproduce, and distribute your content on the platform.

6.2 Content Responsibility

You are solely responsible for your User Content. You represent and warrant that:

• You own or have the necessary rights to your content
• Your content does not infringe on intellectual property or other rights
• Your content complies with these Terms and applicable laws

6.3 Content Moderation

We reserve the right (but not the obligation) to:

• Monitor, review, and moderate User Content
• Remove or disable access to content that violates these Terms
• Suspend or terminate accounts for repeated violations

6.4 Backup Your Content

While we maintain backups, we are not responsible for loss of User Content. You should maintain your own backups of important content.

7. Intellectual Property Rights

7.1 Our Rights

The Service, including its design, features, code, graphics, and trademarks, is owned by Chaos Theory Studios LLC and protected by copyright, trademark, and other intellectual property laws. "Hue42," "AfterHue," and our logos are trademarks of Chaos Theory Studios LLC.

7.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for personal or internal business purposes, subject to these Terms.

7.3 Restrictions

You may not copy, modify, distribute, sell, or lease any part of the Service without our express written permission.

7.4 Feedback

Any feedback, suggestions, or ideas you provide to us become our property, and we may use them without compensation or attribution.

8. Copyright Infringement (DMCA)

We respect intellectual property rights. If you believe content on Hue42 infringes your copyright, please see our DMCA Policy for instructions on filing a takedown notice.

9. Third-Party Services and Links

The Service may integrate with or link to third-party services (e.g., Stripe, Supabase, Google). We are not responsible for the content, accuracy, or practices of third-party services. Your use of third-party services is subject to their terms and policies.

10. Disclaimers and Limitations of Liability

10.1 "As Is" Service

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED/ERROR-FREE OPERATION.

10.2 No Guarantees

We do not guarantee that:

• The Service will always be available or error-free
• Defects will be corrected promptly
• The Service is free of viruses or harmful components
• Results obtained from the Service will be accurate or reliable

10.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHAOS THEORY STUDIOS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING FROM YOUR USE OF THE SERVICE.

Our total liability to you for any claims arising from the Service is limited to the amount you paid us in the 12 months preceding the claim, or $100 (whichever is greater).

10.4 Jurisdictional Limitations

Some jurisdictions do not allow certain warranty disclaimers or liability limitations. In such cases, these limitations apply to the maximum extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Chaos Theory Studios LLC, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from:

• Your use of the Service
• Your User Content
• Your violation of these Terms
• Your violation of any rights of another party

12. Termination

We may suspend or terminate your access to the Service at any time, with or without cause or notice, for violations of these Terms or for any other reason. Upon termination:

• Your right to use the Service immediately ceases
• You remain responsible for any outstanding fees
• Sections of these Terms that should survive termination will continue to apply

13. Changes to the Service

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuance.

14. Changes to Terms

We may update these Terms from time to time. If we make material changes, we will notify you by:

• Posting the updated Terms on this page
• Updating the "Last Updated" date
• Sending an email notification

Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service.

15. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved in the courts located in Delaware, and you consent to personal jurisdiction in those courts.

16. Dispute Resolution and Arbitration

16.1 Informal Resolution

Before filing a claim, you agree to contact us at legal@hue42.com to attempt to resolve the dispute informally. We will attempt to resolve disputes in good faith within 30 days.

16.2 Binding Arbitration

If informal resolution fails, disputes will be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration will be conducted in English in Delaware.

16.3 Class Action Waiver

YOU AND CHAOS THEORY STUDIOS LLC AGREE THAT DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION, EXCEPT WHERE SUCH WAIVER IS PROHIBITED BY LAW.

Severability: If any court or arbitrator determines that the class action waiver in this section is void or unenforceable for any reason, or that arbitration can proceed on a class basis, then the arbitration provision in Section 16.2 shall be deemed null and void in its entirety. In such case, the parties agree that the exclusive jurisdiction and venue provisions in Section 15 shall govern any litigation.

16.4 Exceptions

Either party may seek equitable relief in court for intellectual property infringement or unauthorized use of the Service.

17. Miscellaneous

17.1 Entire Agreement

These Terms, along with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Chaos Theory Studios LLC regarding the Service.

17.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

17.3 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.

17.4 Assignment

You may not assign or transfer these Terms without our written consent. We may assign these Terms without restriction.

17.5 Force Majeure

We are not liable for delays or failures in performance resulting from causes beyond our reasonable control (e.g., natural disasters, war, pandemics, internet outages).
